1 Acceptance of Terms

By accessing or using the CodaFend website (codafend.com) or any services provided by Cast Rock Innovation L.L.C. d/b/a Cast Net Technology ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must discontinue use immediately.

These Terms apply to all visitors to codafend.com. Users of RuleBrief (rulebrief.com) are subject to separate terms available at that site. Enterprise customers of the CodaFend platform are subject to the terms of their applicable software license or service agreement with Cast Net Technology.

2 Services Description

Cast Net Technology operates under the CodaFend brand and provides the following services:

• CodaFend Platform Enterprise compliance software for healthcare organizations, including HCC validation and Medicare Advantage documentation support. Access to the CodaFend platform is governed exclusively by a separate written agreement executed between Cast Net Technology and the customer organization.
• RuleBrief A regulatory intelligence information service (rulebrief.com) providing personalized compliance monitoring briefs to small and mid-size businesses. RuleBrief is subject to its own terms of use available at rulebrief.com.
• This Website (codafend.com) An informational company website providing information about Cast Net Technology, its products, and how to contact us. No purchase or service delivery occurs solely through this website.

3 Not Legal Advice

For compliance decisions specific to your organization's situation, consult a licensed attorney or a qualified compliance professional in your jurisdiction. Cast Net Technology disclaims any liability arising from reliance on information presented on this website or generated by our software without independent professional verification.

4 Healthcare & Coding Disclaimer

Cast Net Technology makes no guarantee of accuracy for any purpose related to CMS submissions, Hierarchical Condition Category (HCC) coding, Risk Adjustment Data Validation (RADV) audits, or Medicare Advantage risk-adjustment. Regulatory requirements change frequently; the software may not reflect the most current CMS guidance, coding updates, or payer policy changes at any given time.

The customer is solely responsible for the accuracy of all claims submitted to CMS or any payer, and for the organization's compliance with the Health Insurance Portability and Accountability Act (HIPAA), the False Claims Act, and all other applicable state and federal laws and regulations. Nothing in these Terms, in any communication from Cast Net Technology, or in any output of CodaFend software constitutes a representation that the customer's claims or coding are accurate, compliant, or audit-proof.

5 No PHI via Website

If PHI is inadvertently transmitted to Cast Net Technology through this website or associated communications channels, we will not use it for any purpose beyond addressing the inadvertent disclosure. We will make reasonable efforts to delete or return the information and will notify the sender. We do not guarantee secure receipt of unsolicited PHI and disclaim liability arising from any inadvertent PHI transmission.

Healthcare organizations that require a Business Associate Agreement (BAA) must contact Cast Net Technology before transmitting any patient data or PHI in any form. A BAA is required prior to any engagement that may involve access to PHI.

6 Software Licensing

The CodaFend platform is licensed, not sold, as downloadable on-premises software. Your right to install and use the CodaFend software is governed by a separate End User License Agreement (EULA) executed between your organization and Cast Net Technology — not by these Terms of Use.

These Terms of Use govern your use of this website (codafend.com) only. They do not govern your use, installation, or operation of the CodaFend software or any deliverables provided under a professional services engagement.

Enterprise customers operating under an executed Master Services Agreement (MSA) or Software License Agreement with Cast Net Technology: the terms of that executed agreement govern and, to the extent of any conflict with these website Terms, supersede these Terms.

7 Intellectual Property

All content on codafend.com — including but not limited to text, graphics, logos, user interface designs, and software — is the property of Cast Net Technology or its licensors and is protected by applicable United States and international intellectual property laws, including copyright and trademark law.

You may view, download, and print materials from this website solely for your personal, non-commercial informational purposes, provided you do not remove any copyright or proprietary notices. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any material from this website without prior written consent from Cast Net Technology.

The CodaFend name, logo, and any associated product names or marks are trademarks of Cast Net Technology. Nothing in these Terms grants any license or right to use any trademark without our prior written permission.

8 Acceptable Use

You agree to defend, indemnify, and hold harmless Cast Net Technology and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your access to or use of this website or our services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any content you submit to or transmit through our website
• Your infringement of any third-party intellectual property or other rights

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of this website that is not resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts of competent jurisdiction in Catawba County, North Carolina, and you irrevocably consent to personal jurisdiction and venue in such courts.

Before initiating formal legal proceedings, you agree to contact us at castnettechnology@outlook.com to attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes within 30 days of receiving written notice.

No waiver by Cast Net Technology of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition, and any failure by Cast Net Technology to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
